1. Agreement to Terms

By accessing or using the services provided by EZMake ("Company," "we," "us," or "our") through ezmake.co or by engaging us for consulting, sourcing, or manufacturing services, you ("Client," "you," or "your") agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.

2. Services Overview

EZMake provides China-based manufacturing consulting services including, but not limited to:

The scope of services for each client will be defined by the selected membership plan or a separate written agreement.

3. Membership Plans & Payments

Membership fees are billed monthly unless otherwise agreed in writing. By subscribing to a plan, you authorize EZMake to charge your designated payment method on a recurring basis. All fees are quoted in US Dollars (USD) and are due at the beginning of each billing cycle.

We reserve the right to adjust pricing with 30 days' prior written notice. Continued use of services after a price change constitutes acceptance of the new rate.

4. Cancellation & Refund Policy

You may cancel your membership at any time by providing written notice to hello@ezmake.co. Cancellation takes effect at the end of the current billing cycle. No prorated refunds will be issued for partial months.

For project-based engagements, refund eligibility will be determined based on work completed at the time of cancellation and will be outlined in the applicable project agreement.

5. Client Responsibilities

Delays caused by incomplete or inaccurate information from the client may affect project timelines and are not the responsibility of EZMake.

6. Intellectual Property

All intellectual property rights in your product designs, specifications, and branding remain your property. EZMake will not use, reproduce, or disclose your proprietary information except as necessary to perform the contracted services.

We may require you to sign additional Non-Disclosure Agreements (NDAs) or Intellectual Property agreements with factories or third-party partners to protect your designs during the manufacturing process.

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or sensitive information exchanged during the course of the engagement. This obligation survives the termination of services for a period of two (2) years.

8. Quality & Inspections

While EZMake conducts quality control inspections as part of applicable service plans, we act as an intermediary and do not manufacture goods directly. We do not guarantee that all products will be free from defects. Our role is to minimize risk through inspection, oversight, and supplier management.

Clients are encouraged to review and approve samples before authorizing full production runs.

9. Shipping & Delivery

EZMake coordinates logistics on your behalf but is not liable for delays caused by shipping carriers, customs authorities, weather events, or other circumstances beyond our control. Shipping timelines provided are estimates and not guarantees.

Risk of loss for goods transfers to the client upon handover to the designated shipping carrier, unless otherwise specified in writing.

10. Limitation of Liability

To the fullest extent permitted by law, EZMake's total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client during the three (3) months preceding the claim.

EZMake shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.

11. Indemnification

You agree to indemnify and hold harmless EZMake, its officers, employees, and agents from any claims, damages, liabilities, costs, or expenses arising from your use of our services, your products, or your violation of these Terms.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, government actions, trade restrictions, war, or significant supply chain disruptions.

13. Dispute Resolution

Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Los Angeles, California.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

15. Modifications

EZMake reserves the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after modifications constitutes acceptance of the revised Terms.
